These Terms & Conditions ("Terms") are a binding legal agreement between you and Moose Pack Inc. ("MPI"), operating through MPV Ventures, an Officially Licensed product, governing your use of auctions.moosetique.com and all related services, including authentication, appraisal, the marketplace, the auction house, the AI Appraiser, and the AI Concierge (collectively, the "Services").

PLEASE READ CAREFULLY. THESE TERMS CONTAIN AN AUTHENTICATION DISCLAIMER, A LIMITATION OF LIABILITY, A BINDING ARBITRATION AGREEMENT, AND A CLASS-ACTION WAIVER (SECTIONS 9, 12, AND 14).

By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Accounts

1.1 You must be at least 18 years old and have the legal capacity to enter binding contracts. By using the Services you represent that you meet these requirements.

1.2 You must register an accurate account and keep it current. You are responsible for all activity under your account and for safeguarding your credentials. Notify us immediately at support@auctions.moosetique.com of any unauthorized use.

1.3 We may require identity, age, address, and anti-fraud verification, and may screen against applicable sanctions and anti-money-laundering ("AML/KYC") requirements. We may refuse, suspend, or terminate any account at our discretion, including for suspected fraud, prohibited items, or Terms violations.

2. The Services

Qloqx provides (a) physical authentication and appraisal of memorabilia, issuance of holographic security labels bearing an 8-digit license number, and a public verification page; (b) a marketplace for listing and buying items; (c) an auction house with timed bidding, account-gated bidding, and Buy-Now; (d) an AI Appraiser providing vision-based authentication and value estimates; and (e) an AI Concierge assistant.

3. Authentication, License Numbers, and Verification

3.1 When an item is authenticated, we may affix a tamper-evident holographic security label bearing a unique 8-digit license number. Guarantees are void if the label is removed, altered, or damaged.

3.2 The public verification page returns "VALID" only for license numbers in our active records associated with an item. A "VALID" result confirms that a record exists in our system — it is not a guarantee of present authenticity, condition, ownership, or value, and may be affected by tampering, transfer, or label removal.

3.3 You must not copy, forge, reuse, transfer between items, or misrepresent any license number or label. Doing so is fraud and grounds for immediate termination and legal action.

4. AI Appraiser and AI Concierge

4.1 The AI Appraiser and AI Concierge are automated tools that may produce inaccurate, incomplete, or outdated outputs. Their value estimates and authentication indications are algorithmic opinions for convenience only, are not professional appraisals or guarantees, and must not be relied upon for any financial, insurance, tax, or legal decision.

4.2 Do not submit confidential or sensitive personal data into AI free-text fields. AI inputs are processed by third-party model providers as described in our Privacy Policy.

5. Marketplace and Listings (Sellers)

5.1 Sellers must own or be authorized to sell each item, must have clear and lawful title, and must provide accurate descriptions, prices, and clear photographs — including a clear photo of the authentication sticker where applicable.

5.2 You grant Qloqx a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and promote your listing content (including item and sticker images) in connection with operating and marketing the Services.

5.3 You are responsible for the accuracy and legality of your listings, for fulfilling sales, and for all applicable taxes on your sales. Misrepresentation, counterfeit goods, or stolen property will result in removal, account termination, and possible legal referral.

6. Auction House Rules

6.1 Bids are binding offers to buy. When you place a bid you make an irrevocable commitment to purchase the item at your bid price if you are the winning bidder. Bids may not be retracted except as we expressly permit.

6.2 Bidding and Buy-Now are account-gated; we may require a payment method on file, deposit, or verification before you may bid. Auctions close at the stated time, subject to anti-sniping extensions where enabled. The highest valid bid at close wins, subject to any reserve.

6.3 Buyer's Premium and Fees. The winning buyer pays the hammer/Buy-Now price plus a buyer's premium and any applicable fees, taxes, shipping, and handling, all disclosed before bid or purchase. Sellers pay a seller's commission and listing/settlement fees as disclosed. Fee schedules may change prospectively.

6.4 Settlement. Winning bidders and Buy-Now purchasers must complete payment within the stated settlement window. Failure to pay is a breach; we may cancel the sale, charge fees, re-list the item, suspend or terminate the account, charge the payment method on file, and recover collection costs.

6.5 We may, at our discretion, cancel or void any bid, listing, sale, or auction; correct errors; or remove items, including for suspected fraud, error, prohibited items, or technical fault. We are not liable for typographical errors, system downtime, or failed/missed bids.

7. Payments, Settlement, and Taxes

7.1 Payments are processed by a third-party processor; you authorize the relevant charges (price, buyer's premium, fees, taxes, shipping). You are responsible for all taxes arising from your transactions. Chargebacks made in bad faith are a breach of these Terms.

7.2 Refunds, returns, and cancellations are governed by the listing terms and our policies; all sales of authenticated/auctioned items are generally final except where required by law or expressly stated.

8. Prohibited Items and Conduct

You must not list, sell, buy, or use the Services for: counterfeit, replica, or misrepresented goods; stolen, looted, or illegally exported items; items violating intellectual-property, cultural-heritage, wildlife/CITES, weapons, or hazardous-materials laws; or any item whose sale is unlawful in the applicable jurisdiction. You must not engage in fraud, shill bidding, bid manipulation, money laundering, sanctions evasion, scraping, reverse engineering, or any activity that harms the Platform, its users, or third parties. Violations may result in immediate termination, forfeiture of fees, and referral to authorities.

9. AUTHENTICATION AND APPRAISAL DISCLAIMER

9.1 Opinion, not guarantee. All authentication determinations and appraisals — whether by Qloqx personnel or the AI Appraiser — are statements of professional or algorithmic opinion at a point in time. They are not a guarantee, warranty, or insurance of authenticity, genuineness, condition, provenance, legal title, or any present or future value.

9.2 No guarantee of title or value. Qloqx does not guarantee that any item is free of competing ownership claims, liens, or encumbrances, and does not guarantee any current or future market or resale value. Appraised values are estimates only.

9.3 Buyer due diligence. Buyers are responsible for their own inspection and due diligence. Authentication and appraisal opinions may be revised, withdrawn, or superseded.

9.4 No professional advice. Nothing on the Services constitutes legal, financial, tax, investment, or insurance advice.

10. Intellectual Property

The Services, Qloqx™ branding, software, design, and content (excluding user content) are owned by Moose Pack Inc. / MPV Ventures and protected by law. We grant you a limited, revocable, non-transferable license to use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works except as permitted.

11. DMCA / Copyright

We respect intellectual-property rights. If you believe content infringes your copyright, send a notice to our Designated Agent at dmca@auctions.moosetique.com including: (1) your signature; (2) identification of the work; (3) the infringing material and its location; (4) your contact information; (5) a good-faith-belief statement; and (6) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act. We may remove content and terminate repeat infringers. Counter-notices may be submitted to the same address.

12. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

12.1 AS-IS. THE SERVICES, INCLUDING AUTHENTICATION, APPRAISAL, AI TOOLS, AND ALL CONTENT, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY OF AUTHENTICITY, ACCURACY, OR VALUE.

12.2 LIMITATION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOOSE PACK INC., MPV VENTURES, AND THEIR AFFILIATES, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST VALUE, OR LOSS OF DATA. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR ANY TRANSACTION WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO QLOQX FOR THE TRANSACTION GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations; in those cases, limits apply to the fullest extent permitted.

12.3 Marketplace role. For peer-to-peer transactions, Qloqx is a venue and facilitator and is not the buyer or seller; we are not responsible for the acts or omissions of users.

13. Indemnification

You will indemnify and hold harmless Moose Pack Inc., MPV Ventures, and their affiliates from any claims, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your listings or transactions, your content, or your breach of these Terms or of any law or third-party right.

14. Governing Law; Arbitration; Class-Action Waiver

14.1 Governing law. These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-laws rules.

14.2 Binding arbitration. Except for small-claims matters and requests for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered under the rules of a recognized arbitration provider, seated in Arizona (or your state of residence where required), under the Federal Arbitration Act.

14.3 Class-action waiver. You and Qloqx agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate claims.

14.4 Opt-out. You may opt out of arbitration by emailing legal@auctions.moosetique.com within 30 days of first accepting these Terms, stating your name and intent to opt out.

15. Termination

We may suspend or terminate your access at any time for breach, suspected fraud, prohibited items, or legal/risk reasons. Provisions that by their nature survive termination — including the authentication disclaimer, IP, limitation of liability, indemnification, and arbitration — survive.

16. Changes to These Terms

We may modify these Terms. Material changes will be posted with a new "Last Updated" date and, where required, notified to you. Continued use after changes constitutes acceptance.

17. Miscellaneous

These Terms, with the Privacy Policy, are the entire agreement between you and Qloqx. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Notices to us go to legal@auctions.moosetique.com.
